In a concurrent private placement, the Company will issue unregistered warrants to purchase up to 1,230,000 shares at an exercise price of $2.67, exercisable upon shareholder approval and expiring five years after approval. Closing is expected on or about Oct. 31, 2025, subject to customary conditions. Proceeds will support working capital and general corporate purposes. Wearable Devices said the registered offering is being made under an effective Form F-3, while the private placement and underlying shares rely on exemptions under Section 4(a)(2) and Regulation D. The Company also agreed to reduce the exercise prices on 1,670,000 existing warrants to $2.67 per share, subject to shareholder approval.
